These Terms of Service (“Terms”) govern your use of the website, forms, text-messaging program, online ordering tools, and other products and services offered by RS Land and Livestock LLC, doing business as Major Show Cattle (“Major Show Cattle,” “we,” “us,” or “our”).

By accessing our website, submitting a form, placing an order, making a deposit, purchasing livestock or other products, registering for an event, or otherwise using our services, you agree to these Terms.

Please do not use our website or services if you do not agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to make a purchase or enter into a transaction through our website.

A parent or legal guardian must complete purchases or agreements involving a minor.

When acting on behalf of a business, organization, partnership, or other person, you represent that you have authority to accept these Terms on that party’s behalf.

2. Our Services

Major Show Cattle may provide information, products, and services involving:

Cattle and livestock sales

Semen, embryos, breeding interests, or genetic opportunities

Livestock events, shows, and sales

Agricultural products

Fruit, food, merchandise, or other products

Deposits, reservations, and online ordering

Appointments, consultations, pickups, or deliveries

Email and text-message communications

Other ranch, livestock, or agricultural services

The availability, description, price, and terms of any product or service may change without notice.

Additional written agreements may apply to particular cattle, livestock, genetic interests, consignments, leases, boarding arrangements, breeding arrangements, or other transactions. When a separate written agreement conflicts with these Terms, the separate written agreement will control for that transaction.

3. Accuracy of Information

We make reasonable efforts to provide accurate descriptions, prices, weights, dates, photographs, pedigrees, genetic information, health information, and availability.

However, errors, omissions, or changes may occasionally occur. We reserve the right to correct inaccurate information, cancel an order, adjust availability, or refuse a transaction when necessary.

Estimated weights, projected performance, expected delivery dates, breeding results, genetic outcomes, and similar information are estimates only and are not guarantees.

4. Orders and Acceptance

Submitting an order, reservation, inquiry, or payment does not guarantee acceptance of the transaction.

We may accept, reject, limit, or cancel an order for reasons including:

Product or livestock unavailability

Pricing or listing errors

Suspected fraud

Payment problems

Geographic or delivery limitations

Failure to meet transaction requirements

Events outside our reasonable control

A transaction is considered accepted when we provide confirmation or otherwise communicate our acceptance.

5. Prices, Deposits, and Payments

Prices are stated in United States dollars unless otherwise indicated.

Applicable taxes, processing fees, delivery charges, veterinary costs, health certificate costs, hauling expenses, or other transaction-related charges may be added when disclosed.

Certain orders may require a deposit. Unless otherwise stated in writing:

A deposit reserves the identified product, livestock, service, or pickup allocation.

The remaining balance is due by the stated deadline or at pickup.

Failure to pay the balance when due may result in cancellation.

Deposits may be nonrefundable when we have reserved inventory, livestock, services, transportation, or other resources specifically for the customer.

Specific refund, cancellation, or deposit terms displayed on an order form, invoice, checkout page, sales agreement, or other written communication will control over this general section.

You represent that you are authorized to use any payment method you provide.

We may use third-party payment processors to process payments. Those processors may impose their own terms and privacy practices.

6. Livestock Transactions

Livestock is sold subject to the terms stated in the applicable sales agreement, invoice, sale catalog, auction terms, health documentation, or other transaction record.

Unless expressly stated otherwise in writing:

Livestock is sold as-is, subject to any specifically stated guarantees.

The buyer is responsible for inspecting the animal or obtaining an independent inspection before purchase.

Photographs and videos may not fully reflect an animal’s appearance, condition, disposition, structure, or movement.

The buyer assumes responsibility for the animal after possession, delivery, or transfer of risk as specified in the transaction documents.

The buyer is responsible for transportation, care, feed, veterinary treatment, insurance, and compliance with applicable laws after transfer.

Breeding, pregnancy, semen quality, embryo results, fertility, performance, show success, offspring quality, and future market value are not guaranteed unless expressly stated in writing.

Nothing in this section limits any warranty or remedy that cannot legally be excluded.

7. Pickup, Delivery, and Transportation

Pickup or delivery dates are estimates unless specifically guaranteed in writing.

Customers must pick up products or livestock within the stated pickup window. Failure to do so may result in storage, feeding, boarding, handling, or rescheduling charges.

Risk of loss may transfer to the customer upon pickup, delivery, loading, or tender to a carrier, depending on the applicable transaction terms.

Third-party carriers and haulers are independent parties. We are not responsible for delays, losses, injuries, or damage caused by a third-party carrier except to the extent required by law.

8. Perishable and Agricultural Products

Agricultural and perishable products may vary naturally in:

Size

Weight

Color

Ripeness

Flavor

Appearance

Shelf life

Yield

Packaging

Product weights may be approximate and may vary because of moisture loss, packing methods, grading, or natural variation.

Customers are responsible for promptly picking up, transporting, storing, refrigerating, or otherwise caring for perishable products after receipt.

9. Cancellations and Refunds

Refund and cancellation eligibility depends on the product or service purchased.

Unless otherwise stated in writing:

Deposits used to reserve livestock, products, pickup capacity, transportation, or services may be nonrefundable.

Completed services are nonrefundable.

Perishable products may not be returnable after pickup or delivery.

Refund requests must be made promptly after discovering a problem.

We may require photographs, documentation, or return of the product before issuing a refund or replacement.

Approved refunds will generally be issued to the original payment method.

10. Text Message Program Terms

By providing your mobile telephone number and expressly consenting to receive text messages from RS Land and Livestock LLC, DBA Major Show Cattle, you agree to receive text messages concerning:

Inquiries

Orders and deposits

Payment reminders

Appointments

Pickup or delivery information

Livestock availability

Sales and events

Customer service

Account or transaction updates

Promotional offers when separately authorized

Consent to receive marketing text messages is not a condition of purchasing any goods or services.

Message Frequency

Message frequency varies based on your relationship and interactions with Major Show Cattle.

Message and Data Rates

Message and data rates may apply. Contact your wireless carrier for information regarding your text or data plan.

Opting Out

You may cancel text-message communications at any time by replying STOP to the number from which you received the message.

After replying STOP, you may receive one final message confirming that you have been unsubscribed. You will no longer receive text messages from that program unless you later provide consent again.

Carrier Disclaimer

Wireless carriers are not liable for delayed or undelivered messages.

Privacy

Your use of our text-messaging program is also governed by our Privacy Policy.

Mobile information and text-message consent will not be sold or shared with third parties or affiliates for their own marketing or promotional purposes.

Text-message originator opt-in data and consent will not be shared with third parties, except aggregators, wireless carriers, messaging platforms, and service providers necessary to operate and deliver the text-messaging program.

11. Email Communications

By providing your email address, you agree that we may send transactional or administrative emails regarding your inquiries, orders, payments, pickups, events, or business relationship with us.

We may send promotional emails when permitted by law. You may unsubscribe from promotional emails using the unsubscribe link contained in the message.

Opting out of promotional emails will not prevent us from sending communications necessary to complete or administer an existing transaction.

12. Acceptable Use

You may not use our website, forms, communication systems, or services to:

Violate any law or regulation

Commit fraud or misrepresentation

Impersonate another person or entity

Submit false payment or contact information

Interfere with the operation or security of our website

Introduce viruses, malicious code, or harmful technology

Scrape, copy, or extract data through unauthorized automated means

You may view and use the website for personal, informational, or legitimate purchasing purposes.

You may not reproduce, sell, publish, modify, distribute, or commercially use our content without prior written permission, except as allowed by law.

14. Customer-Submitted Content

When you submit a review, testimonial, photograph, video, comment, or other content to us, you represent that:

You own or have permission to submit the content.

The content does not violate another person’s rights.

The content is accurate and lawful.

Unless otherwise agreed in writing, you grant us a nonexclusive, worldwide, royalty-free license to use, reproduce, display, publish, and share the submitted content for our business, advertising, website, social media, and promotional purposes.

You may contact us to request that we stop using voluntarily submitted content, although we may not be able to remove content already printed, distributed, or incorporated into completed materials.

15. Third-Party Services and Links

Our website may use or link to third-party services, including payment processors, customer relationship management systems, maps, social media platforms, scheduling tools, delivery services, or other websites.

We do not control and are not responsible for the content, availability, security, terms, or privacy practices of third-party services.

To the fullest extent permitted by law, our website and general online services are provided on an “as-is” and “as-available” basis.

We do not guarantee that:

The website will always be uninterrupted or error-free.

Information will always be complete or current.

Every product or animal shown will remain available.

Electronic communications will always be delivered.

Third-party services will operate without interruption.

Livestock, agriculture, breeding, and animal production involve inherent risks and uncertainty. Results may be affected by genetics, management, nutrition, environment, disease, injury, weather, market conditions, and other factors outside our control.

17. Limitation of Liability

To the fullest extent permitted by law, RS Land and Livestock LLC, DBA Major Show Cattle, and its owners, employees, agents, contractors, and representatives will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from your use of our website or services.

This includes, without limitation:

Lost profits

Lost business opportunities

Loss of use

Loss of data

Lost livestock value

Lost breeding opportunities

Lost show opportunities

Transportation delays

Third-party service failures

Our total liability arising from a transaction will not exceed the amount you paid us for the specific product or service giving rise to the claim, except where a greater amount is required by law.

Nothing in these Terms excludes liability that cannot legally be excluded.

18. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless RS Land and Livestock LLC, DBA Major Show Cattle, and its owners, employees, agents, and representatives from claims, losses, liabilities, damages, costs, and expenses arising from:

Your violation of these Terms

Your unlawful use of our website or services

Information or content you submit

Your violation of another person’s rights

Your conduct after taking possession of livestock or products

This section does not apply to claims resulting from our gross negligence, intentional misconduct, or other liability that cannot legally be limited.

19. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any legal action arising from these Terms or our services must be brought in a court with proper jurisdiction in Wyoming, unless the parties agree in writing to another dispute-resolution process.

20. Changes to These Terms

We may update these Terms periodically.

When changes are made, the revised Terms will be posted with a new “Last Updated” date.

Your continued use of our website or services after revised Terms are posted constitutes acceptance of the updated Terms.

21. Termination

We may suspend or terminate access to our website, communication programs, or services when:

These Terms are violated

Fraud or unlawful activity is suspected

Payment obligations are not fulfilled

Continued service would create legal, security, or operational risk

Termination does not eliminate outstanding payment obligations or provisions that are intended to survive termination.

22. Severability

If any provision of these Terms is found unlawful or unenforceable, that provision will be enforced to the greatest extent legally permitted.

The remaining provisions will continue in effect.

23. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

24. Entire Agreement

These Terms, our Privacy Policy, and any applicable order form, invoice, sales agreement, deposit agreement, or other written transaction document constitute the agreement between you and RS Land and Livestock LLC concerning the applicable website use or transaction.
